Hooker Furnishings has announced a significant deal with Magnussen Home Furnishings, marking a pivotal moment in the company's strategic restructuring. The agreement involves the sale of two prominent case goods brands, Pulaski and Samuel Lawrence, for an estimated price of approximately $4.8 million. This move is part of Hooker's broader initiative to streamline its portfolio and boost profitability by concentrating on high-performing brands. The transaction is expected to close by mid-December 2025, subject to standard closing conditions and third-party consents.
The deal also entails the transfer of approximately $4.8 million in Home Meridian (HMI) showroom lease liabilities and related expenses to Magnussen, who will assume the lease for HMI's High Point showroom. This strategic shift is anticipated to enhance Hooker's financial stability and operational efficiency. Moreover, Hooker will retain the Samuel Lawrence Hospitality brand, integrating it into its 'All other' segment.
According to Jeremy Hoff, CEO of Hooker Furnishings, this announcement is a crucial step in the company's multi-year plan to optimize its portfolio and enhance profitability. He emphasized the company's focus on brands that consistently generate earnings, leading to a more agile and cost-effective business model. The recent launch of the Margaritaville licensed collection is seen as a promising growth opportunity, further bolstering Hooker's confidence in its ability to increase shareholder value.
In conjunction with the sale, Hooker expects to record non-cash impairment charges ranging from $5 million to $6 million, net of lease gains upon termination. Financial advisory services were provided by Stump & Company, while McGuireWoods LLP served as the legal advisor for the transaction.
